1 Introduction

(a) These terms and conditions (Terms) are entered into between PropHero Pty Ltd (ABN 28 651 300 140) (we, us or our) and you (being the original recipient of the offer to which these Terms are referred or attached).

(b) These Terms apply to our offer to provide you with a referral bonus payment if you refer users to sign up the PropHero platform (Platform), in accordance with the process set out in these Terms, that meet the eligibility criteria below (Offer).

(c) This Offer is available for a limited time only and is not applicable in conjunction with any other promotional offer unless expressly indicated. This Offer is only available to participants in Australia.

(d) You accept these Terms by accepting and sharing your unique referral link (Referral Link) with your network.

2 Eligibility Criteria

(a) As part of the Offer, you are eligible to receive a $500 cash-back (Referral Bonus):

i. if you are our existing client; and ii. when you send or share your Referral Link with a person who has not previously registered for our Platform; and

iii. that person signs up to our Platform; and

iv. that person pays the $1,490 Platform joining fee (each a Referral).

(b) For the avoidance of doubt, the Referral Bonus is not connected to any transaction undertaken by us or that the Referral may instruct us to undertake via our Platform or otherwise.

(c) We reserve the right to exclude a Referral, where the person being referred has previously registered for our Platform or has not used your Referral Link when registering for our Platform.

3 Offer

(a) This Offer commences on 14th November 2022 and is only available to you if the Eligibility Criteria under clause 2 is satisfied in full.

(b) You can receive the Referral Bonus each time you make a Referral. There is no limit to the number of Referrals you make.

(c) You can only receive the Referral Bonus for each Referral once.

(d) You do not receive the Referral Bonus if your referral also refers a new person.

(e) If you become eligible for a Referral Bonus, the Referral Bonus will be paid to your account on our Platform within 30 days of you meeting the Eligibility Criteria.

4 General

(a) For privacy reasons, we will not tell you which Referral met the applicable Eligibility Criteria. (b) We collect personal information from you in order to make available the Offer and may, for this purpose, collect, use and disclose such information to third parties, including but not limited to agents, contractors, service providers, and as required, to regulatory authorities. Please see our Privacy Policy (available at https://prophero.com.au/privacy-policy/) for more information about how we collect, store, use and disclose personal information, including details about overseas disclosure, access, correction, how you can make a privacy-related complaint and our complaint-handling process. By providing personal information to us, you agree to the collection, use, storage and disclosure of that information as described in these Terms and in our Privacy Policy. We agree to comply with the Privacy Act 1988 (Cth), Spam Act 2003 (Cth) and similar laws when using, storing and disclosing personal information under these Terms.

(c) Failure to use the Referral Link according to these Terms or not in line with the intent of the Offer, including but not limited to, publishing, advertising or selling the Referral Link or any conduct on your part which is designed to undermine the intended operation of the Offer, is prohibited and may constitute fraud.

(d) A Referral will not be accepted if the Referral Link is incomplete, invalid or does not otherwise match our records.

(e) If we become aware, or have reason to suspect, that you are fraudulently misusing the Referral Link and/or have breached these Terms, you will become ineligible to receive any Referral Bonus, and, where we have already provided you with a Referral Bonus, you agree to refund us any amount already paid to you by us.

(f) For the avoidance of doubt, you may not refer yourself to also be the Referral (e.g. by using separate email addresses to create multiple registrations on the waitlist).

(g) We reserve the right to validate the eligibility of any Referral, and may, at our sole discretion, determine any Referral to be ineligible.

(h) This Offer is available for a limited time only and is not available in conjunction with any other promotional offer unless expressly indicated. We reserve the right to extend, withdraw or amend this Offer (including with respect of the amount of the Referral Bonus) at any time at our sole discretion. If this Offer is withdrawn or amended, we will honour the Offer in respect of any Referrals that were made prior to the Offer being withdrawn or amended, provided that the Eligibility Criteria is satisfied. Unredeemed Referral Links cannot be used after this Offer is withdrawn.

(i) Any decision made by us in relation to the Offer is final in all matters.

(j) To the maximum extent permitted by law, we shall have no liability for any website failure, Referral Link errors, any malfunction of computers, servers or providers, communications and facilities, any tax liability incurred by you in connection with any Referral Bonus and any loss or damage (whether direct, indirect, special or consequential) caused in any way by participating in this Offer or in connection with any Referral Link.

(k) Nothing in these Terms limits, excludes or modifies, or purports to limit, exclude or modify any legislation which cannot lawfully be excluded or limited, included the statutory consumer guarantees as provided under the Competition and Consumer Act 2010 (Cth).

(l) These Terms are governed by the laws of New South Wales. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts operating in New South Wales and any courts entitled to hear appeals from these courts.

(m) A reference in these Terms to ‘$’ or ‘dollars’ refers to the currency of Australia from time to time. A reference to time in these Terms is to local time in New South Wales.
